The Accounting Firm agrees to provide the following services to the Client:

Both parties agree to keep all information exchanged during the course of the engagement confidential. This includes but is not limited to financial data, business strategies, and proprietary processes. The parties shall not, without the prior written consent of the other party, disclose or make available any confidential information to any third party.
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both parties. No waiver of any term of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is to be enforced.
The Accounting Firm's liability under this Agreement shall be limited to the amount of fees paid by the Client to the Accounting Firm. The Accounting Firm shall not be liable for any indirect, incidental, or consequential damages. The Client agrees to indemnify and hold harmless the Accounting Firm from any claims, liabilities, or expenses arising out of the Accounting Firm's services, except for those resulting from the Accounting Firm's gross negligence or willful misconduct.
All intellectual property rights arising from the Accounting Firm's work shall remain the property of the Accounting Firm. The Client shall have a limited, non-exclusive license to use any deliverables provided by the Accounting Firm for the purposes set out in this Agreement.
