1. Purpose

The purpose of this Agreement is to protect the confidential information disclosed by the Disclosing Party to the Receiving Party during the course of their discussions and any subsequent business relationship.

2. Definition of Confidential Information

“Confidential Information” means all non-public, proprietary, or confidential information disclosed by the Disclosing Party to the Receiving Party, whether disclosed orally or in writing, that is designated as confidential or that, given the nature of the information or the circumstances surrounding its disclosure, should reasonably be understood to be confidential. Confidential Information includes, but is not limited to:

  • Business records and plans
  • Financial statements
  • Customer lists and records
  • Trade secrets
  • Technical information
  • Products
  • Inventions
  • Product design information
  • Pricing structure
  • Discounts and costs
  • Computer programs and listings
  • Source code and/or object code
  • Copyrights and other intellectual property

3. Exclusions from Confidential Information

Confidential Information does not include information that:

  • Is or becomes publicly known through no breach of this Agreement by the Receiving Party
  • Is rightfully received from a third party without breach of any obligation of confidentiality
  • Is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information
  • Is disclosed with the prior written approval of the Disclosing Party
  • Is required to be disclosed by law or court order, provided that the Receiving Party gives the Disclosing Party prompt notice of such requirement and assists in obtaining an order to protect the information from public disclosure

4. Obligations of Receiving Party

The Receiving Party agrees to:

  • Hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party
  • Restrict access to Confidential Information to those of its officers, employees, agents, and third parties who have a need to know such information for the purpose of carrying out the business relationship between the parties
  • Not, without the prior written approval of the Disclosing Party, use for the Receiving Party's own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of the Disclosing Party, any Confidential Information

5. Term and Termination

This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either party with [Notice Period] written notice. The obligations to protect Confidential Information shall survive termination of this Agreement and continue for a period of [Specify Time Period] thereafter.

6. Return of Materials

Upon termination of this Agreement, or upon the Disclosing Party’s written request, the Receiving Party shall promptly return all documents and other tangible materials representing the Disclosing Party’s Confidential Information and all copies thereof.

7. No Warranty

All Confidential Information is provided "AS IS". The Disclosing Party makes no warranties, express, implied, or otherwise, regarding the accuracy, completeness, or performance of any Confidential Information.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the federal and state courts located in [County, State].

9. Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter. Any modifications to this Agreement must be in writing and signed by both parties. This Agreement shall not be assigned by either party without the prior written consent of the other party.
