Consultant Retainer Agreement

5. Confidentiality, Non-Disclosure Obligations, and

The parties shall not, without the prior written consent of the other party, disclose or make available any confidential information to
any third party.

6. Termination of Agreement, Notice Periods, and Conditions

This Agreement may be terminated as follows:

Termination for Convenience:

Termination for Cause:
Either party may terminate this Agreement immediately upon a material breach by the other party, provided the breaching party has been given [Cure Period] days to cure the

7. Governing Law, Jurisdiction, and Venue for

10. Limitation of Liability and Indemnification

The Consultant shall not be liable for any indirect, incidental, or consequential damages. The Client agrees to indemnify and hold harmless the Consultant from any claims, liabilities, or expenses arising out of the Consultant's services, except for those resulting from the Consultant's gross negligence or willful misconduct.

11. Intellectual Property Rights

All intellectual property rights arising from the Consultant's work shall remain the property of the Consultant. The Client shall have a limited, non-exclusive license to use any deliverables provided by the Consultant for the purposes set out in this Agreement.
